T-Shirt Design Contest Official Rules

1. HOW TO ENTER.
There are two ways to enter the Lakai’s 2023 T-Shirt Design Contest (“Contest”) being offered and promoted by Huf Worldwide, LLC dba Lakai: (a) https://www.lakai.com.

The Contest runs from the [start date of submission] to the 01/25/2023. All entries must be received by 11:59 p.m. PM on the 01/25/2023. Normal Internet access and usage charges imposed by your on-line service will apply.

2. USE OF DATA.
By participating in the Contest, participants agree to all personal information uses and disclaimers as explained in Lakai’s privacy policy at https://www.lakai.com/pages/privacy-policy.

3. ELIGIBILITY.
Participants must be 18 years of age and a US citizen at the time of entry. The Contest is void where prohibited by law. Employees of Huf Worldwide, LLC dba Lakai, HUF and Plantlife and their respective affiliates, subsidiaries, advertising or promotion agencies are not eligible, nor are members of these employees’ families.

4. SELECTION OF POTENTIAL WINNERS.
Potential winners will be notified via telephone or e-mail within 30 days of the end of the Contest. Huf Worldwide, LLC dba Lakai’s decisions as to all matters related to administration of the Contest and selection of winner is final. The potential winners must comply with all terms and conditions set forth in these Official Rules, and winning and the awarding of prizes are contingent upon fulfilling all requirements. If a potential winner cannot be contacted within 72 hours after the first attempt to contact such potential winner, then an alternate winner will be selected at random. Return of any prize notification as undeliverable may result in disqualification and selection of an alternate winner.

5. PRIZES.
Huf Worldwide, LLC dba Lakai will be giving away one $500 Gift Card to Lakai.com prize along with 10 the Contest winner’s very own t-shirt graphic. This prize is non-transferrable and may not be substituted for other Huf Worldwide, LLC dba Lakai products. Huf Worldwide, LLC dba Lakai reserves the right to substitute a prize of comparable value in its sole discretion. Prizes (and/or any portion thereof) are nontransferable and non-exchangeable. In addition, Huf Worldwide, LLC dba Lakai will be producing the winning design in its Seasonal Apparel Line and will be selling it to retailers and online in Lakai.com. Additional restrictions or requirements may apply. All federal, state, and local taxes related to the prizes are the sole responsibility of the winner. Any prizes valued at $600 or greater will be contingent upon Huf Worldwide, LLC dba Lakai’s receipt of winner’s completed IRS W9 form. All other expenses and costs, not expressly included above, are the winner’s sole responsibility. No refunds or credit for changes are allowed.

6. ODDS OF WINNING.
The odds of winning the prize in this Contest depend upon the number of eligible entries received by Huf Worldwide, LLC dba Lakai. The Maximum number of entries is one per person[, per week]. 7. WINNERS LIST. Contest results and copy of these Official Rules may be obtained by sending a self-addressed, stamped envelope to the Huf Worldwide, LLC dba Lakai at the address set forth below. Results will be available within 60 days of the end of the Contest. 8. PUBLICITY. Except where prohibited by law, each winner grants to Huf Worldwide, LLC dba Lakai, and its designees the right to use and publish such winner’s photo, proper name, likeness, voice, opinions, testimonials, biographical information, town and state of residence, and any photographs or images taken by such winner with equipment provided by Huf Worldwide, LLC dba Lakai in any media to promote Huf Worldwide, LLC dba Lakai’s Contest without additional compensation, permission, or notification.

9. RELEASE.
By entering the Contest, participants agree to release, and indemnity and hold harmless Huf Worldwide, LLC dba Lakai, their respective subsidiaries, affiliates, directors, officers, employees and agents from and against any and all losses, damages, claims, or causes of actions of any kind arising, in whole or in part, directly or indirectly, out of entrant’s participation in the Contest and/or resulting, directly or indirectly, from acceptance, possession, use, or misuse of any prize awarded in connection with the Contest, including, without limitation, personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy.

10. LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES.

WHEREVER ENFORCEABLE, THIS CONTEST IS NOT SUBJECT TO LEGAL RECOURSE.

WHEREVER ENFORCEABLE, IN NO EVENT WILL THE RELEASED ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SITE AND/OR ENTRY IN THE CONTEST, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY WEBSITES ASSOCIATED WITH THE CONTEST. WITHOUT LIMITING THE FOREGOING, THIS CONTEST AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

11. GENERAL CONDITIONS.
Wherever enforceable, the parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Contest. Wherever enforceable, any controversy or claim arising out of or relating to these Official Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Orange County, California before Judicate West.

WHEREVER ENFORCEABLE, THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES.

For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in Orange County, California. The parties agree not to raise the defense of forum non conveniens.

All federal, state, and local laws and regulations apply. The Contest is void where prohibited. Online entries are deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted email address. A potential winner may be requested to provide Huf Worldwide, LLC dba Lakai with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry or is a resident of a permitted jurisdiction. The prize will only be awarded to the authorized account holders. If, in Huf Worldwide, LLC dba Lakai’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if technical difficulties compromise the integrity of the Contest, Huf Worldwide, LLC dba Lakai reserves the right in its sole discretion to void any entries at issue (including disqualifying any individual who tampers or otherwise interferes with the entry process), and to cancel, terminate, modify, or suspend the Contest, in whole or in part, at any time without notice. In the event of such cancellation, Huf Worldwide, LLC dba Lakai reserves the right to award prizes in a random drawing from all eligible entries received before the time of cancellation. Huf Worldwide, LLC dba Lakai also

reserve the right to cancel or modify the Contest if fraud or any other factor impairs the integrity of the Contest as determined by Huf Worldwide, LLC dba Lakai in their sole discretion. Huf Worldwide, LLC dba Lakai assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alternation of, entries. Huf Worldwide, LLC dba Lakai are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry received by Huf Worldwide, LLC dba Lakai on account of technical problems or traffic congestion on the Internet or at any web site, or otherwise, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation or downloading any materials in the Contest.

The Sponsor of this Contest is Huf Worldwide, LLC dba Lakai. The Contest is in no way sponsored, endorsed or administered by, or associated with Facebook, Instagram, or any other social media platform.
